Kenya's Capital Markets Authority approved a short form prospectus allowing eligible Kenyan investors to take part in the Dangote Refinery IPO through Global Depositary Receipts. Renaissance Capital (Kenya) will run the structure with Renaissance Capital Africa in Nigeria, and the GDRs are to list on the Nairobi Securities Exchange after allocation. It is described as the first transaction under Kenya's GDR policy framework. The Nigerian offer opened on 14 September and closes on 13 October, and NSE listing remains subject to confirmation from Nigeria's SEC and a successful raise.
Why it matters
The approval tests a cross-border retail access route that could be reused for other African listings. It also creates new prospectus, custody and securities law work for counsel in both markets.
