Shell Petroleum B.V. has agreed to sell the Shell Nigeria Gas Group to Vaaris Energy Limited. The value has not been disclosed.

What is being sold

The perimeter includes Shell Nigeria Gas Holding B.V., which holds all but one share of Shell Nigeria Gas Limited. The business runs about 170km of gas distribution pipeline serving more than 130 industrial and commercial customers in Ogun, Abia and Rivers states (ThisDay; Investors King).

Status

The sale was announced on 13 October 2026 by Shell’s Country Chair in Nigeria, Elohor Aiboni. It is subject to regulatory approvals and other conditions, and the business continues to operate under Shell until completion. Advisers have not been disclosed.

Why it matters

Shell says it will concentrate on deepwater and integrated gas in Nigeria, including its Nigeria LNG interest. The sale follows its exit from onshore production through the sale of SPDC, and continues the transfer of Nigerian midstream and downstream assets to domestic operators. Vaaris also appears on The Meridian’s record as buyer of TotalEnergies’ 10% interest in the NNPC/Renaissance joint venture.
