Ewoyaa lithium sale approaches its 30 October approval date

Huayou’s US$71m purchase of Elevra’s interest in Ewoyaa still awaits Ghanaian Government approval. The break-fee terms separate a rejection from a walk-away.

Zhejiang Huayou Cobalt’s purchase of Elevra Lithium’s interest in Ghana’s Ewoyaa lithium project still awaits Government approval, with a 30 October date in view.

The terms

Elevra agreed on 11 May 2026 to sell its interest in Ewoyaa, including associated offtake rights, for about US$71m in cash. Ghanaian Government approvals were still outstanding at Elevra’s update of 1 October. If they are not obtained by 30 October, Huayou may complete or terminate. A US$5m break fee is payable if Huayou terminates, but not if Ghana rejects Huayou’s application on or before 30 October.

Why it matters

Ewoyaa is Ghana’s first lithium mining project, so the Government’s handling of a change of ownership will be read as a signal for the sector. The way the parties priced the risk of official silence, as opposed to an official refusal, is a model worth noting for any acquisition that depends on government consent.
