MNT-Halan sets out a 20% EGX float, with Gibson Dunn, Matouk Bassiouny and White & Case on the deal

The parent will sell 320 million existing shares in MNT Tech Holding, the group’s Egyptian business, with trading expected before the end of October.

MNT-Halan has announced its intention to float MNT Tech Holding for Financial Investments, the group’s Egyptian business, on the Egyptian Exchange. The parent, MNT Investments B.V., plans to sell 320 million existing shares, equal to 20% of the company, to institutional and retail investors. The price will be set through a bookbuild, and trading is expected to begin before the end of October 2026, subject to approvals and market conditions.

The structure

The offer is fully secondary: the shares come from the parent, not from new issuance. Before trading begins, the parent will also transfer 24.3 million shares to senior managers. No price range was given in the intention-to-float notice. Bankers pitched a valuation of up to US$1 billion for the Egyptian business when they tested demand in June, according to Enterprise, while Billionaires.Africa reports that the wider group was valued at US$1.4 billion in a funding round led by Al Ahly Capital the same month.

The float follows a listing approval already in hand. On 15 September the EGX listing committee granted MNT Tech Holding a temporary main-board listing under the ticker HALN.CA, with until mid-March 2027 to complete the offering, Enterprise reported. Shareholders holding at least 10% at listing must retain 51% of their stake for at least two financial years. The Egyptian business has disbursed more than US$15.5 billion in financing and serves over 8 million customers across lending, payments and, more recently, brokerage, according to the same report.

The advisers

The deal team is unusually well disclosed for an Egyptian float, and it is a cross-border one:

Why it matters

Egypt has struggled to bring foreign institutions back to its equity market, and a fintech with a consumer-lending book, a payments business and a record of securitisation is the kind of issuer that can do it. MNT-Halan’s Egyptian business is also a regular capital-markets user: The Meridian recorded EGP2.79 billion of Halan securitisations on 1 October. A public listing adds a valuation mark and continuous disclosure to a business that has, until now, been priced in private rounds.

For Matouk Bassiouny, already one of the most frequently recorded firms in The Meridian’s Egyptian coverage, it is a flagship issuer-side mandate. For White & Case, it pairs the firm’s international capital-markets practice with its Cairo association with MHR & Partners on the underwriters’ side.

What to watch

Financial Regulatory Authority approval of the prospectus, the price range and the split between institutional and retail tranches, and whether demand is strong enough for the offer to be upsized. The deal is recorded in The Meridian’s transactions tracker.

For Halan’s funding record before the float, see its EGP2.214bn securitisation of March 2026, also advised by Matouk Bassiouny & Hennawy. The listing is tracked in the Africa Listings Tracker.
